I don't see a MAC clause.
A Material Adverse Change clause. It's a change in circumstance
that affects a bargain after a deal's signed,
but before it's closed. Something like an embargo,
or a new tax law, or regulatory change. It's always good
to have a well-defined MAC clause. Mm-hmm. And speaking of regulatory, my buddy, Winston, is actually at
the Department of Energy, in fossil fuels. Winston and I were in the Spee together. He's a very good friend, and it never hurts
to have a friendly face at the DOE. Well, that could be very valuable indeed. Of course,
